1. Agreement to Terms
By accessing and using the website and services provided by HDL Perma Code TECH ("we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services.
2. Design and Development Services
We provide premium web design, custom engineering, and digital architecture solutions. The specifics of any development project—including scope, timelines, deliverables, and payment milestones—will be outlined in a separate Statement of Work (SOW) or formal client contract.
- Revisions: Unless otherwise specified in the SOW, standard projects include up to three rounds of reasonable revisions.
- Timeline: Estimated delivery times are provided in good faith but are not legally binding deadlines unless explicitly stated in your individual contract.
- Client Responsibilities: Delays in client feedback, content delivery, or approvals may result in corresponding delays to project completion.
3. Intellectual Property Rights
Unless otherwise stated, HDL Perma Code TECH and/or its licensors own the intellectual property rights for all code, designs, architectures, and templates generated during the course of our engagement.
- Custom Code: Upon final payment of all owed invoices, full intellectual property rights for bespoke code and designs are transferred to the client, unless the contract stipulates a licensing arrangement.
- Templates & Pre-builts: If the project utilizes our proprietary premium templates or baseline frameworks, we grant you a non-exclusive, non-transferable license to use those elements for your specific website. You may not resell or redistribute our core frameworks.
4. Payment and Fees
All pricing packages, recurring maintenance plans, and individual project invoices must be paid according to the terms specified at checkout or within your individual contract.
- Initial deposits are strictly non-refundable once architectural or development work has commenced.
- Failure to pay milestone invoices may result in the suspension of development services or web hosting.
5. Warranties and Liability
Our services and templates are provided "as is". We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property.
In no event shall HDL Perma Code TECH be liable for any consequential or indirect damages (including data loss or profit loss) arising out of the use or inability to use the materials on our secure environments.
6. Governing Law
Any claim relating to HDL Perma Code TECH's website or services shall be governed by the laws of our operating jurisdiction without regard to its conflict of law provisions.
